Anthropic’s Pre-IPO Fundraising Forces VCs to Super-Size Funds, Testing Limits of AI Megafund Model

Anthropic's massive pre-IPO round drives VCs to expand fund sizes, but limited LP cash returns may constrain the sustainability of this megafund trend.

Pre-IPO fundraising by AI startup Anthropic is reshaping the Silicon Valley venture capital landscape, forcing prominent firms to significantly expand their fund sizes to meet the demand for massive checks. According to Newcomer, investors including Menlo Ventures, Lightspeed, and ICONIQ have had to raise new funds, urge limited partners (LPs) to co-invest, and market special purpose vehicles (SPVs) to gather the necessary capital. This trend highlights the impact of the AI revolution on traditional VC models: skyrocketing capital requirements are concentrating power in a handful of "megafunds."

This concentration has structural consequences. Mid-tier VC firms and emerging managers are increasingly locked out of top deals or can only participate at inflated valuations in multiple-round financings. Meanwhile, the megafund model itself faces a ceiling. Although large firms successfully raised new funds over the past year to chase AI opportunities, many LPs have accumulated paper gains without sufficient cash distributions over the last decade, limiting their ability to continuously re-up into ever-larger funds. As Anthropic prepares to file its S-1, its cap table is expected to show dominance by corporate investors and late-stage megafunds, with smaller VCs holding modest stakes.

Simultaneously, OpenAI is reportedly in talks for a $30 billion raise at a $1.25 trillion valuation, further intensifying the competition for large capital pools. However, the exit window is narrowing: recent tech stock declines driven by AI spending concerns, combined with a sluggish M&A environment due to high interest rates, make IPOs and subsequent exits more uncertain. If Anthropic's IPO underperforms, the entire model reliant on high valuations and continuous fundraising will face severe scrutiny. While some early investors like Sound Ventures and Factorial Funds have secured wins by betting on deals giants passed on, indicating room for contrarian strategies, the dominant trend remains an arms race in fund scale.
